Terms of Service

1. Introduction
Welcome to Dialed ("Service"), a Software-as-a-Service (SaaS) application provided by Dialed LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Service available via the Salesforce AppExchange ("AppExchange"). By installing, accessing, or using the Service, you agree to be bound by these Terms.

2. Eligibility
You must be at least 18 years old and have the authority to enter into a legally binding agreement on behalf of your organization to use this Service.

3. License and Access
Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service within your Salesforce environment.

4. Subscription and Fees

  • The Service may be offered on a subscription basis, with fees outlined on the AppExchange listing or in a separate agreement.

  • Payments are non-refundable unless explicitly stated otherwise.

  • Failure to make timely payments may result in suspension or termination of access.

5. Data and Privacy

  • You retain ownership of your data, but you grant us the right to process it as necessary to provide the Service.

  • We implement security measures to protect your data, but you acknowledge that no system is completely secure.

6. Customer Responsibilities
You agree to:

  • Use the Service in compliance with all applicable laws and Salesforce policies.

  • Not modify, reverse-engineer, or interfere with the Service.

  • Maintain the confidentiality of any access credentials.

7. Salesforce Integration and Third-Party Services

  • The Service integrates with Salesforce, and your use of Salesforce remains subject to Salesforce’s terms.

  • We are not responsible for any changes in Salesforce’s policies or services that may impact the functionality of our Service.

8. Service Availability and Support

  • We strive to ensure uptime and reliability but do not guarantee uninterrupted availability.

  • Support is provided as detailed in the AppExchange listing or a separate agreement.

9. Intellectual Property Rights

  • The Service, including but not limited to its software, design, trademarks, and proprietary content, is owned by the Company and protected under applicable intellectual property laws.

  • You are granted a limited right to use the Service, but no ownership rights are transferred.

  • You agree not to copy, distribute, modify, or create derivative works of any part of the Service without prior written consent from the Company.

10. Limitation of Liability
To the fullest extent permitted by law, Company shall not be liable for indirect, incidental, consequential, or punitive damages arising out of or related to the use of the Service.

11. Termination

  • You may discontinue use of the Service at any time.

  • We reserve the right to suspend or terminate your access if you violate these Terms.

  • Upon termination, you must cease all use of the Service.

12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution
These Terms are governed by the laws of New York State. Any disputes shall be resolved through arbitration or the courts of New York State
